EMD Lexigen Research Center Corp.

Founded in 1992 as a joint venture with Fuji Photo Film Ltd., EMD
Lexigen Research Center Corp. (EMD Lexigen for short) was formed to
screen Fuji’s chemical library for drug activities, with an initial
focus on immune disorders and cancer.

Our activities have evolved significantly since then. Having gained
independence from Fuji Photo Film in 1997, EMD Lexigen has honed its
activities to focus on developing proprietary immunocytokine and Fc-X
fusion protein technologies for treatment of life-threatening diseases
such as cancer and AIDS.

EMD Lexigen’s innovative technology and approach to oncology quickly
drew the attention of the pharmaceutical community, including Merck
KGaA, Darmstadt, Germany, which ultimately acquired EMD Lexigen in
1999.

Now, as the focal point for Merck KGaA’s development of biological
therapeutic agents and protein-based pharmaceuticals, EMD Lexigen
Research Center Corp. complements and augments Merck KGaA’s work in
traditional, chemical-derived pharmaceuticals.

With a research & development campus located in the heart of the
vibrant Route 128 Biotech Corridor near Boston and Cambridge, Mass.,
EMD Lexigen today focuses its activities on developing treatments for
serious and life-threatening diseases, and on building a
pharmaceutical platform to serve as the springboard for new therapies.

Supporting us in these activities are:

Merck KGaA, Darmstadt, Germany, our parent company and one of the
world’s oldest, most established and productive pharmaceutical
concerns, with an ancestry that traces back to the 17th century Angel
Pharmacy in Darmstadt, Germany. Merck KGaA has grown into a global

spread throughout 48 countries. With annual sales of $7.5 billion,
Merck KGaA’s pharmaceutical business, including EMD Lexigen, is

EMD Pharmaceuticals, Inc., a sister company founded in 1999 to expand
Merck KGaA’s commercial pharmaceutical operations in the United
States. EMD Pharmaceuticals is active in the clinical development,
manufacture and sale of Merck KGaA’s products in the U.S., with
operations in Durham, N.C., and Lexington and Billerica, Mass..
